General Terms and Conditions (GTC)

1. Scope of application

(1) These General Terms and Conditions (GTC) apply to all orders placed via the online shop (Shopify), the website or direct inquiries to
Herten Pro Sports, 45699 Herten, Recklinghausen district (hereinafter referred to as "Seller").

(2) These terms and conditions apply to:

• Consumers (B2C) within the meaning of § 13 BGB
• Entrepreneur (B2B) within the meaning of § 14 BGB

(3) Any differing terms and conditions of the customer shall only be recognized if they have been expressly agreed to in writing by the seller.

2. Conclusion of the contract

• The presentation of products in the online shop does not constitute a legally binding offer.
• By placing an order, the customer makes a binding offer to purchase.
• The contract is concluded upon order confirmation or shipment of the goods.

3. Prices, Taxes & Customs

• All prices are quoted in euros unless otherwise stated.
• International orders may be subject to additional customs duties, import taxes, or fees. The customer bears this cost.
• Prices can be displayed net for B2B customers.

4. Payment terms

Payment is made using the payment methods offered in the Shopify store. (e.g. credit card, PayPal, bank transfer).
The seller reserves the right to exclude certain payment methods.

5. Delivery & Worldwide Shipping

• Delivery is made worldwide to the address provided by the customer.
• Delivery times are non-binding unless expressly guaranteed.
• Delays due to customs clearance, force majeure or logistics partners are beyond the seller's control.

6. Retention of title

The delivered goods remain the property of Herten Pro Sports until full payment is received.

7. Right of withdrawal (B2C only)

• Consumers have a statutory right of withdrawal.
• The right of withdrawal does not apply to:
• tailor-made products
• Personalized items (e.g. logo printing, private label)
• B2B customers have no right of withdrawal unless expressly agreed.

8. Customization & Private Label

• Returns of custom-made products are excluded unless the goods are faulty.
• The customer guarantees that they possess all necessary rights to logos, designs or trademarks.
• The customer shall indemnify the seller against all third-party claims.

9. Warranty

B2C

The statutory warranty rights apply.

B2B

• The warranty period is 12 months from delivery.
• Obvious defects must be reported immediately.

10. Liability

• The seller is fully liable in cases of intent and gross negligence.
• In cases of slight negligence, the seller is only liable for breaches of essential contractual obligations.
• Liability for indirect damages, consequential damages or lost profits is excluded to the extent permitted by law.
• Liability for damages to life, body or health remains unaffected.

11. Using the Website & Shopify

• The seller does not guarantee uninterrupted availability of the website.
• Technical errors, maintenance work or server outages do not give rise to any liability claims.
• All content is protected by copyright.

12. Data protection

Personal data will be processed in accordance with the privacy policy. and processed in accordance with applicable data protection laws (GDPR).

13. Applicable Law & Jurisdiction

• The law of the Federal Republic of Germany applies.
• The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
• For B2B customers, the place of jurisdiction is the seller's place of business: Herten, Germany .

14. Final Provisions

Should any provision of these Terms and Conditions be or become invalid, The effectiveness of the remaining provisions remains unaffected.
